Terms of Service

1. Agreement to these Terms
These Terms of Service (“Terms”) are a binding agreement between you and FarmHub, LLC, a Delaware limited liability company (“FarmHub”, “we”, “us”). They govern your access to and use of our websites (including https://farmhub.ag), the FarmHub application and dashboard, our APIs, our mobile and connected services, and any storefront or other products and services we offer (collectively, the “Services”).
By creating an account, placing an order, or otherwise accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you use the Services on behalf of a company, farm, school, or other organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
Please note: Section 13 contains a binding arbitration provision and class action waiver that affect how disputes between you and FarmHub are resolved. You may opt out as described in that section.
2. Accounts and security
- You must provide accurate, current information when registering and keep it up to date.
- You are responsible for safeguarding your login credentials and API keys, and for all activity that occurs under your account. Notify us promptly at support@farmhub.ag if you suspect unauthorized use.
- If you invite team members, auditors, or other collaborators to your projects, you are responsible for the access you grant them, and you must ensure they comply with these Terms. Roles and permissions you assign determine what they can see and do.
3. Subscriptions, billing, and trials
- Certain features require a paid subscription. Plans, features, and pricing are described on our pricing page and may include usage-based components (for example, the number of connected sensors or additional team seats), which are billed based on your actual usage.
- Payments are processed by Stripe. By subscribing, you authorize us and Stripe to charge your payment method on a recurring basis until you cancel. We do not store your card numbers.
- Subscriptions renew automatically at the end of each billing period. You may cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period, after which your account is downgraded to the free plan and your data is retained subject to Section 10 and our Privacy Policy.
- Free trials convert to paid subscriptions at the end of the trial period unless you cancel first. We will make reasonable efforts to remind you before your trial ends.
- We may change our prices with at least 30 days’ notice; changes apply from your next billing period. Fees are exclusive of taxes, which you are responsible for where applicable. Except where required by law, payments are non-refundable.
4. Marketplace and storefronts
The Services allow farms (“Sellers”) to operate storefronts and sell products to buyers, with payments processed through Stripe Connect. For these transactions:
- FarmHub provides the platform only and is not a party to the sale between Seller and buyer. The Seller — not FarmHub — is responsible for its products, including their quality, safety, labeling, fulfillment, returns, and compliance with food-safety and other applicable laws, and for any taxes on its sales.
- Sellers are independent controllers of the buyer information they collect and must handle it lawfully.
- We deduct a platform fee from marketplace transactions as disclosed in the product. Sellers must also accept Stripe’s Connected Account Agreement.
- Storefronts, product traceability pages, and other public sharing features are visible to anyone with the link. You are responsible for what you choose to publish through them.
5. Your content and data
- You retain all rights to the data and content you submit to the Services — farm records, sensor telemetry, files, photos, compliance documentation, and similar materials (“Customer Content”).
- You grant FarmHub a worldwide, non-exclusive license to host, store, process, transmit, display, and back up Customer Content as needed to provide, secure, and improve the Services, and to share it as you direct (for example, with your team members, connected integrations, or public pages you enable).
- We may use data that has been aggregated or de-identified so that it does not identify you or any person to operate, analyze, and improve the Services.
- You are responsible for Customer Content, including having the rights to submit it and ensuring it does not violate law or the rights of others. If you submit personal information about other people (such as buyers or supply-chain contacts), you are responsible for having a lawful basis to do so.
- If you send us feedback or suggestions, we may use them without restriction or obligation to you.
6. Acceptable use
You agree not to, and not to permit others to:
- use the Services in violation of any law or regulation;
- misrepresent the origin, safety, or compliance status of products on traceability pages, storefronts, or compliance records;
- probe, interfere with, or disrupt the Services, circumvent access controls or usage limits, or access another customer’s data without authorization;
- scrape the Services or use automated means to extract data except through our documented APIs;
- reverse engineer or decompile the Services or FarmHub hardware firmware, except to the extent permitted by applicable law;
- resell, sublicense, or provide the Services to third parties as a service bureau, except through features we provide for that purpose (such as team membership or storefronts);
- upload malicious code or content that is unlawful, infringing, or deceptive.
We may suspend or limit access to the Services where we reasonably believe these Terms are being violated or to protect the Services or other customers.
7. Integrations and third-party services
- The Services let you connect third-party products — for example Slack, SMS providers, accounting software, e-commerce platforms, webhooks, and AI assistants or other clients you authorize through our OAuth and MCP interfaces. When you connect a third-party service, you authorize us to exchange your data with it as needed to provide the integration, and that service’s own terms and privacy policy govern its handling of your data.
- Third-party services are not under our control, and we are not responsible for them. You can revoke an integration’s or authorized client’s access at any time from your settings.
- Actions taken in your account by clients you authorize (including AI assistants) are treated as your actions.
8. No professional advice; operational responsibility
The Services provide record-keeping, monitoring, analytics, and workflow tools. They do not provide veterinary, agronomic, legal, food-safety, or other professional or regulatory advice, and no output of the Services (including compliance checks, withdrawal period calculations, and reports) is a substitute for your own professional judgment or advice from qualified professionals.
You remain solely responsible for the operation of your farm and for compliance with the laws and regulations that apply to it, including food-safety and animal drug requirements. Sensor readings can be inaccurate, and alerts and notifications depend on third-party networks and delivery services and are not guaranteed to be delivered or timely. Do not rely on the Services as your sole safeguard for the health of crops, livestock, aquatic systems, or the safety of food products.
9. Intellectual property and copyright complaints
The Services, including software, hardware designs, content we provide, and our trademarks, are owned by FarmHub or its licensors. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. No other rights are granted.
We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act. Send notices to support@farmhub.ag with the information required by 17 U.S.C. § 512(c)(3). We may remove content and terminate repeat infringers’ accounts.
10. Term, suspension, and termination
- These Terms apply for as long as you use the Services. You may close your account at any time by contacting support@farmhub.ag.
- We may suspend or terminate your access for material breach of these Terms, non-payment, or where required by law. Where practicable we will give you notice and an opportunity to cure.
- For 30 days after termination or account closure, you may request an export of your Customer Content by contacting support@farmhub.ag. After that, we may delete it in accordance with our Privacy Policy, except where retention is required by law.
- Sections that by their nature should survive termination (including Sections 5, 8, 11, 12, 13, and 14) survive.
11. Disclaimers and limitation of liability
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, AND FARMHUB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA (INCLUDING SENSOR DATA AND ALERTS) WILL BE ACCURATE, COMPLETE, OR DELIVERED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FARMHUB WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, CROPS, LIVESTOCK, OR AQUATIC STOCK, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. FARMHUB’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO FARMHUB IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR US$100 IF YOU HAVE PAID NOTHING).
Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.
12. Indemnification
You will indemnify and hold harmless FarmHub and its officers, employees, and agents from claims, damages, and expenses (including reasonable attorneys’ fees) arising out of your Customer Content, your farm or business operations, products you sell through the Services, your violation of these Terms, or your violation of law or the rights of a third party.
13. Dispute resolution; arbitration; class action waiver
- Informal resolution first. Before filing a claim, you and we agree to try to resolve the dispute informally: send a written description of the dispute to support@farmhub.ag, and we will do the same to your account email. If the dispute is not resolved within 30 days, either party may proceed as set out below.
- Binding arbitration. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, rather than in court. The Federal Arbitration Act governs this section. Judgment on the award may be entered in any court of competent jurisdiction.
- Exceptions. Either party may bring an individual claim in small claims court, or seek injunctive or other equitable relief in court for infringement or misuse of intellectual property or unauthorized access to the Services.
- Class action waiver. Disputes will be resolved only on an individual basis. Neither party may participate in a class, consolidated, or representative action, and the arbitrator may not consolidate claims of more than one party.
- Opt-out. You may opt out of this arbitration agreement by emailing support@farmhub.ag within 30 days of first accepting these Terms, stating your name, account email, and your decision to opt out. Opting out does not affect any other part of these Terms.
14. Governing law and general terms
- These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. For disputes not subject to arbitration, you and we submit to the exclusive jurisdiction of the state and federal courts located in Delaware.
- We may update these Terms from time to time. For material changes, we will provide notice by email or through the Services at least 14 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
- You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Neither party is liable for delay or failure caused by events beyond its reasonable control.
- If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. These Terms, together with the policies they reference and any order or plan terms, are the entire agreement between you and FarmHub regarding the Services.
